The agreement

By using aasani.ai or engaging Aasani Systems ("we", "us") to deliver services, you ("you", "client") agree to these terms. If you don't agree, don't use the site or engage us.

For paid engagements, a separate Statement of Work signed by both parties controls — and overrides anything here that conflicts with it.

What we do

We provide operations design and AI-readiness services to small and mid-sized businesses. Specifically:

• Structural Audit — a fixed-scope assessment of your operation.
• Operating System Install — a fixed-scope build of the operational structure that came out of the audit.
• Ongoing Optimization — a monthly engagement to compound the system over time.

Specifics — deliverables, timeline, exclusions — are defined in your Statement of Work. We don't promise outcomes we can't control. We do promise to do the work as scoped.

What you own

You own everything we build for you. Workflows, schemas, prompts, configurations, documentation — all yours from day one. No vendor lock-in. No proprietary runtime sitting between you and your operation. If we stop earning our keep, you take the system and go.

We retain the right to use generalized methodology, frameworks, and patterns developed during the engagement — never your specific data or trade secrets — to improve our practice.

Payment

• Engagements are fixed-scope, fixed-price. No hourly billing surprises.
• Invoices are due net 14 from issue date.
• Engagements are typically billed in milestones (kickoff, mid-point, completion). The exact schedule lives in the Statement of Work.
• Late payments past 30 days accrue 1.5% monthly interest and may pause active work.

Confidentiality

Whatever you tell us about your business stays between us. We sign mutual NDAs on request before any substantive discovery. We don't talk about clients publicly without explicit written permission, and we don't use your data to train external AI models.

Site use

This site is provided for informational purposes. You may read it, share links to it, and quote it with attribution. You may not scrape it for AI training, repackage its content, or use the brand marks without written permission.

No guarantees, no warranties

The site is provided "as is." We make no representation that it will be uninterrupted or error-free. Engagement deliverables are warranted to meet the specifications in the Statement of Work — outside that scope, we make no further warranties, express or implied.

Liability

Where the law allows us to limit liability: our total liability for any engagement is capped at the fees you paid us under that Statement of Work in the twelve (12) months before the claim arose. We are not liable for indirect, incidental, consequential, or punitive damages — lost profits, lost data, or business interruption — even if we were warned they were possible.

Nothing in these terms limits liability for fraud, gross negligence, or anything else that can't be limited under applicable law.

Termination

Either side can end an engagement with 30 days written notice for any reason. If you terminate before completion of a milestone, you owe for work performed up to the termination date and any non-cancellable third-party costs already incurred. We hand over everything we've built so far in working condition.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute that can't be resolved in good faith will be heard in the state or federal courts located in Travis County, Texas, and both sides agree to that jurisdiction.

Changes to these terms

If we update these terms, we'll change the "last updated" date above. Material changes that affect active clients will be communicated directly. Continued use of the site or services after a change means you accept the updated version.
